Commercial Agreement Summary
These Terms govern all commercial inquiries, formal quotations, proforma invoices, and wholesale sales of Ghanaian agricultural commodities executed by RanstadPlus Enterprise. Cross-border shipments are executed strictly under ICC Incoterms® 2020 rules.
By accessing this website, requesting a commodity quotation, or executing a purchase agreement, you agree to be bound by these Terms and Conditions. If you represent an importing company or institutional trading desk, you represent and warrant that you possess full legal capacity to bind that corporate entity. A legally binding contract forms exclusively upon mutual written execution of an authorized Proforma Invoice or Sales Confirmation.
1. Definitions & Interpretations
- "Products" — Raw and refined Shea Butter, Shea Nuts, Cocoa Beans, Cocoa Pod Husk/Ash, Cocoa Powder, Cashew Nuts, Dried Ginger, Palm Kernel Oil, and any associated commodities listed by RanstadPlus Enterprise.
- "Enquiry" — A non-binding commercial request for unit pricing, product specifications, or lab test COA documents submitted via our website, email, or telephone.
- "Proforma Invoice / Quote" — A formal written commercial document setting out specifications, lot volume, unit pricing, Incoterm, payment milestones, and delivery timeline.
- "Order" — The buyer's formal confirmation and deposit payment against an issued Proforma Invoice.
- "Incoterms 2020" — The official trade terms published by the International Chamber of Commerce (ICC).
2. Scope & Eligibility
2.1 Website catalog listings and specifications are published for informational purposes and do not constitute an open-ended public offer. Contracts are formed solely upon our issuance of an authorized Proforma Invoice.
2.2 Buyers must be at least 18 years of age and legally authorized to engage in commercial commodity trading.
3. Enquiries & Price Quotations
3.1 Submitting an enquiry through our online quote builder does not reserve inventory or lock forward commodity pricing.
3.2 Price quotations are valid for 7 calendar days from issuance (unless specified otherwise on the Proforma) and remain subject to market harvest availability, ocean freight adjustments, and foreign exchange fluctuations.
3.3 Physical sample specimens provided prior to container-load dispatch represent natural agricultural produce and may have minor, normal botanical variances within certified grade parameters.
4. Prices, Currency & Taxes
4.1 Export transactions are invoiced in USD ($) or EUR (€). Domestic Ghana deliveries may be invoiced in Ghanaian Cedi (GHS).
4.2 Base prices are quoted FOB Port of Tema or EXW Tafo-Kumasi as indicated on the quotation. Destination customs duties, import tariffs, and local landing taxes are the sole responsibility of the importing party.
5. Orders & Payment Terms
5.1 Orders are formally scheduled into production upon receipt of the agreed deposit or irrevocable Letter of Credit (LC).
5.2 Standard international export payment structures:
- Sample & Trial Orders: 100% advance telegraphic transfer (T/T).
- Bulk Container Shipments: 30% advance deposit upon contract signing + 70% balance payable against scanned copy of original Bill of Lading (B/L) and export certificates.
- Institutional Letters of Credit: Irrevocable, confirmed Letter of Credit (LC) payable at sight issued by a recognized top-tier international bank.
5.3 Legal ownership and title to goods transfer only upon receipt of full cleared payment. Risk of loss transfers in accordance with the specified Incoterm.
6. Export Logistics & Compliance Documentation
6.1 RanstadPlus supplies full, authentic export documentation for customs clearance in the destination country:
- Official Phytosanitary Certificate (Ministry of Food & Agriculture, Republic of Ghana)
- Certificate of Origin (Ghana National Chamber of Commerce / GIPC)
- Commercial Invoice & Packing List (stamped & signed)
- Certificate of Analysis / Quality Inspection (Ghana Standards Authority, FDA Ghana, SGS, or Bureau Veritas)
- Ocean Bill of Lading (B/L) or Air Waybill (AWB)
6.2 Harmonized Tariff System (HS) codes provided by RanstadPlus serve as standard international guidelines. Importers must verify tariff classification with their local customs authorities.
7. Quality, Specifications & Tolerances
7.1 Quality parameters (including moisture content, free fatty acid / FFA percentage, purity percentage, and foreign matter) are certified on the pre-shipment Certificate of Analysis. Deliveries within agreed international contractual tolerance ranges constitute conforming delivery.
7.2 Notice of non-conformity must be submitted in writing within 7 business days of vessel discharge at the destination port, supported by photographic evidence and independent accredited laboratory assays.
8. Delivery & Force Majeure
8.1 Standard production and shipment timelines range from 2 to 4 weeks following order confirmation.
8.2 Neither party shall be liable for delivery failures or delays resulting from events beyond reasonable control, including extreme climatic disasters, war, port labor strikes, maritime route closures, epidemic quarantines, or governmental export embargoes (Force Majeure).
9. Returns & Dispute Claims
Agricultural commodities are bulk, perishable goods; customer change-of-mind cancellations or returns are not accepted once cargo is dispatched. In the event of substantiated product non-conformity, our remedy is strictly limited to replacement of the affected volume or a pro-rata invoice adjustment.
10. Intellectual Property
All digital catalog photography, technical specifications, brand trademarks, and documentation layouts are the proprietary intellectual property of RanstadPlus Enterprise. Unauthorized copying or digital scraping is strictly prohibited.
11. Warranties & Limitation of Liability
11.1 We warrant that all exported commodities are authentic, ethically harvested from Ghanaian source farms, and free from adulteration.
11.2 To the maximum extent permitted under applicable law, RanstadPlus Enterprise shall not be liable for indirect, incidental, punitive, or consequential damages. Total aggregate liability under any contract is strictly capped at the net invoiced value of the specific lot of goods delivered.
12. Indemnity
Buyers agree to defend, indemnify, and hold harmless RanstadPlus Enterprise and its officers from any third-party claims arising out of improper cargo storage, domestic repackaging, or destination import regulatory infractions caused by the buyer.
13. Governing Law & Dispute Resolution
These Terms and all export agreements are governed by the Laws of the Republic of Ghana. Any dispute that cannot be amicably settled within 30 days shall be referred to final, binding arbitration under the Ghana Alternative Dispute Resolution Act, 2010 (Act 798), with the seat of arbitration in Accra, Ghana.
14. Trade Compliance & Anti-Bribery
Both parties warrant adherence to international anti-money laundering, anti-bribery (including the UK Bribery Act and US FCPA), and international trade sanctions regulations. Commodities shall not be transferred to embargoed entities or sanctioned states.
15. Updates to Terms
We may update these terms periodically to reflect amendments in international trade customs or statutory trade codes. Material updates apply to contracts executed after the date of publication.
16. General Provisions
If any clause of these Terms is deemed unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full legal force and effect.
